These terms govern your use of SagacityBooks (the Service), provided by Sagacity Solutions, S2/M, Capital Plaza, DP Road, Malwadi, Hadapsar, Pune, Maharashtra 411028, India (we, us). By creating an account, signing in or paying for a plan you agree to them. If you use the Service for a business or on behalf of your clients, you confirm you may bind that business.

1. The Service

SagacityBooks is online software for GST invoicing, accounting, bank reconciliation, inventory, GST and TDS compliance and related reports, used by businesses and by chartered-accountant firms for their clients. It is provided over the internet; nothing is installed or shipped.

2. Accounts and security

You must give accurate details and keep them up to date.
Each login is personal. Keep your password and two-step sign-in device safe, and tell us at once if you suspect misuse.
You are responsible for what is done through the logins of your account, including the access you give your staff and accountants.

3. Your data and your filings

The books, invoices, documents and other data you enter or upload remain yours. You grant us the rights needed to host, process and back them up to provide the Service.

The Service is a tool. Returns, e-invoices, e-way bills and other filings are made on your instruction, with your credentials, OTP or verification code. You remain responsible for the correctness of your books and of anything filed with the GST, income-tax or any other authority, and for meeting your due dates. Suggestions from the software, including its assistant, are aids, not professional advice.

4. Plans, fees and taxes

Plans are prepaid for a term of 1 month, 1 year or 3 years, as stated on your invoice. Fees are exclusive of GST, which is charged at the applicable rate.
A plan runs from its start date to its end date. We remind you by email 30, 15, 7 and 1 day before it ends. There is no automatic debit: a new term starts only when you pay for it.
If a plan is not renewed, paid features stop 7 days after the end date. Your data stays readable and can be exported; nothing is deleted because a plan lapsed.
Prices may change for future terms; a term you have already paid for is not affected.

5. Acceptable use

You will not misuse the Service: no unlawful content, no attempt to access other customers' data, to probe or overload our systems, to reverse-engineer the software, or to resell it without our written consent.

6. Availability and support

We work to keep the Service available and your data safe, with daily encrypted backups. Planned maintenance and events outside our control (including outages of government portals such as the GST network) can interrupt it. Support is by email at [email protected], phone and WhatsApp.

7. Intellectual property

The software, its design and content belong to Sagacity Solutions. Your subscription gives you a limited, non-exclusive, non-transferable right to use it for its term.

8. Liability

To the extent the law allows, we are not liable for indirect or consequential loss, lost profits, or penalties, interest or late fees arising from filings, and our total liability for any claim is limited to the fees you paid us in the 12 months before the claim arose.

9. Ending the Service

You may stop using the Service at any time. We may suspend or close an account that breaches these terms, after notice where practical. On closure you may export your data; we keep books for the period the law requires (see our Privacy Policy) and then delete them.

10. Law and disputes

These terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts at Pune, Maharashtra. We may update these terms; we will post the new version here and, for material changes, tell you by email before they apply.
